(including its representatives, affiliates, and its parent company CEM Group Ltd., collectively “Roots Pet,” “we,” “us,” or “our”), a corporation organized under the laws of the State of Delaware.

By visiting our Site, purchasing our Products, or using our Services, you agree to be bound by the Terms. These Terms apply to all users of the Site.

1. ACCEPTANCE AND ELIGIBILITY

1.1 Agreement to Terms: By accessing the Site, creating an account, or purchasing Products, you acknowledge that you have read, understood, and agreed to these Terms without modification.

1.2 Eligibility & Age Requirement: YOU MUST BE AT LEAST 18 YEARS OF AGE TO USE OR ACCESS THE SITE AND TO PURCHASE OR SUBSCRIBE TO OUR PRODUCTS. By using the Site, you represent and warrant that you meet this requirement.

1.3 Geographic Restrictions: The Site and our Products are intended solely for users residing in the United States and Canada. We do not accept orders from, ship to, or intentionally process transactions for individuals in Europe, South America, Mexico, Asia, Australia, or Africa. By using the Site, you represent and warrant that you are accessing the Site from, and reside within, the U.S. or Canada. We disclaim any liability arising from your failure to do so. We reserve the right to refuse registration or terminate your account at our sole discretion, including in the event of a violation of these Terms or any abusive actions towards our employees.

2.2 Account Security: You are solely responsible for safeguarding your account information, including your password. You agree to take sole responsibility for any activities or actions under your password, whether or not you have authorized such activities. You agree to immediately notify Roots Pet at hello@rootspet.com of any unauthorized use of your password or account.

3. PRODUCT INFORMATION AND PURCHASES

3.1 Product Descriptions and Accuracy: We regularly update product and Service offerings. Although we attempt to provide accurate information, we may experience delays in updating information. The information on the Site may contain errors or inaccuracies and may not be complete or current. Products may be mispriced, described inaccurately, or unavailable. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

3.2 Order Acceptance and Cancellation: We reserve the right to refuse or cancel your order at any time for reasons including product availability, errors in the description or price, geographic restrictions, or suspected fraud.

3.3 Risk of Loss: All purchases are made pursuant to a shipment contract. Risk of loss and title for Products pass to you upon delivery of the Products to the carrier.

4. PAYMENT AND BILLING 4.1 Payment Methods: We employ third-party services to facilitate payment. You represent and warrant that you have the legal right to use any credit card(s) or other payment method(s) utilized in connection with any purchase.

4.3 Taxes and Duties: You are solely responsible for all applicable sales, use, excise, or other taxes associated with your purchase. Canadian customers are solely responsible for all applicable customs duties, taxes, and import fees levied by the Canadian government.

5. SUBSCRIPTIONS

5.1 Subscription Terms: If you enroll in a subscription, you agree to recurring deliveries of Products at the interval you select. Subscriptions automatically renew at the end of each period until canceled.

5.2 Auto-Renewal and Billing: You authorize us to automatically charge your payment method at the start of each subscription period for the applicable fees, taxes, and shipping costs.

5.3 Cancellation and Modification: You may cancel, pause, or modify your subscription at any time through your account settings or by emailing hello@rootspet.com.

5.4 Notice Period: Changes, modifications, or cancellations must be submitted at least seven (7) days before the next scheduled billing date to take effect for that upcoming period. Failure to provide 7 days' notice will result in the charge processing for the upcoming cycle.

6. SHIPPING AND DELIVERY

6.1 Order Processing: Orders are typically processed within 1–3 business days. Our daily cutoff time is 2:00 PM CST. Orders placed after 2:00 PM CST will begin processing the next business day. We do not process shipments on weekends or U.S. federal holidays.

6.2 Delivery Estimates: Delivery times are estimates only (e.g., 5–7 business days for U.S., 10–15 business days for Canada). We are not liable for delays caused by carriers, weather, or customs.

6.3 Shipping Address: You are responsible for providing a complete and accurate shipping address. You bear all reshipping costs for returned packages due to address errors or unpaid Canadian customs fees.

7. RETURNS AND REFUNDS

7.1 90-Day Money-Back Guarantee: We offer a 90-day, no-questions-asked money-back guarantee strictly for your first-time purchase (this applies to either your first single-item order or the very first shipment of your initial subscription). Return the Product—opened or unopened—within 90 days of receipt for a full refund of the purchase price (excluding shipping costs).

7.2 Standard Return Policy: For all subsequent purchases, returns are accepted within 30 days of receipt ONLY if the Products are unopened, unused, and in their original sealed packaging. You are responsible for return shipping costs.

8.1 Ownership: All resources, user interfaces, software, and other information and content provided by Roots Pet (collectively, “Site Content”) are the exclusive property of Roots Pet Inc. and its parent company, CEM Group Oy. This includes all copyrights, trademarks, patents, derivative works, moral rights, trade secrets, and proprietary information.

8.2 Limited License: We grant you a limited, revocable, non-exclusive, non-transferable right to access and make personal, non-commercial use of the Site. Nothing on the Site grants any license or right to use any image, trademark, or logo.

8.3 User-Generated Content: By submitting comments, reviews, or feedback ("User Submissions"), you grant us a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, translate, distribute, and display such User Submissions in any media without compensation to you.

9. USER CONDUCT AND PROHIBITED ACTIVITIES You agree not to, directly or indirectly:

• Impersonate any person or entity.

• Use the Site from an unauthorized jurisdiction, for any illegal purpose, or in violation of any law.

• Use the Site to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate.

• Reverse engineer, disassemble, decompile, modify, or translate any software components of the Site.

• Distribute viruses or other harmful computer code.

• Use scrapers, robots, or other automated data-gathering devices. Neither the Site nor the Site Content may be used in conjunction with a generative AI solution or large language model.

• Attempt to gain unauthorized access to the Site, other accounts, or computer systems through hacking or password mining.

• Upload the personal information of others without authorization.

• Infringe or misappropriate the intellectual property or privacy rights of any third party.

• Promote, market, advertise, or sell any of our products through third-party websites or online marketplaces (including Amazon.com and eBay.com) without our express written permission. We actively participate in brand registry programs to remove unauthorized and counterfeit merchandise.

10. DISCLAIMER OF WARRANTIES THE SITE, SITE CONTENT, AND ALL SERVICES DELIVERED TO YOU ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' FOR YOUR USE. ROOTS PET HEREBY DISCLAIMS ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. ROOTS PET DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.

11. LIMITATION OF LIABILITY IN NO CASE SHALL ROOTS PET INC., ITS PARENT COMPANY CEM GROUP OY, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCTS PROCURED USING THE SITE.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL ROOTS PET BE LIABLE UNDER ANY LEGAL THEORY FOR ANY DAMAGES IN EXCESS OF THE LESSER OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

INDEMNIFICATION You agree to indemnify, defend, and hold harmless Roots Pet Inc., CEM Group Oy, and our subsidiaries, officers, directors, agents, contractors, licensors, service providers, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: (a) your violation of these Terms; (b) your violation of any law or the rights of a third party; (c) your access to or use of the Site; or (d) any negligence, fraud, or intentional misconduct committed by you. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

13. THIRD-PARTY LINKS AND SERVICES Certain content, products, and services available via the Site may include materials from third parties. Third-party links may direct you to websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy, and we do not warrant and will not have any liability for any third-party materials or websites. Complaints or claims regarding third-party products should be directed to the third party.

14. GOVERNING LAW AND DISPUTE RESOLUTION IMPORTANT NOTICE — ARBITRATION, CLASS ACTION WAIVER, AND JURY WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, THIS SECTION REQUIRES YOU TO RESOLVE MOST DISPUTES WITH US THROUGH BINDING, INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

14.1 Governing Law: These Terms and any dispute arising out of or relating to them (“Dispute”) are governed by the internal substantive laws of the State of Delaware, United States, regardless of conflict of laws provisions. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration provision.

14.2 Informal Resolution (Mandatory): Before initiating arbitration, you must send a written Pre-Dispute Notice to hello@rootspet.com detailing the facts and requested relief. The parties will work in good faith to resolve the Dispute for 60 days via telephone or videoconference. Arbitration may not be initiated until this informal process concludes.

14.3 Arbitration Procedures: Any Dispute not resolved informally shall be brought on an individual basis and resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) pursuant to its Consumer Arbitration Rules. A single Arbitrator will resolve the Dispute. The arbitration shall take place in Wilmington, Delaware, or via electronic/telephonic means if mutually agreed. The Arbitrator shall issue a reasoned written decision.

14.4 Costs and Fees: Each party bears its own attorneys’ fees and costs unless the Arbitrator finds your Dispute was frivolous or brought for an improper purpose (under Federal Rule of Civil Procedure 11(b)), in which case you shall reimburse us for advanced fees.

14.5 Exceptions: Either party may bring an individual claim in small-claims court, or seek temporary/preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property or data security rights pending arbitration.

14.6 Class Action & Jury Trial Waiver: WHETHER IN COURT OR IN ARBITRATION, YOU AND ROOTS PET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AND ROOTS PET EACH WAIVE ANY RIGHT TO A TRIAL BY JURY.

15. TERMINATION We reserve the right to terminate these Terms at any time without notice if, in our sole judgment, you fail to comply with any provision. We may deny you access to the Site or Services. The obligations and liabilities incurred prior to the termination date (including payment obligations and the dispute resolution provisions) shall survive termination. You may terminate your account by contacting us at hello@rootspet.com.

16. MISCELLANEOUS PROVISIONS

16.1 Severability: In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms without affecting the validity of the remaining provisions.

16.2 Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement and understanding between you and us, superseding any prior agreements, communications, and proposals (oral or written). The failure by us to exercise or enforce any right shall not constitute a waiver of such right.

16.3 SMS Message Terms: If you opt into any SMS programs, you agree to receive recurring text messages from Roots Pet. Consent is not a condition of purchase. Message and data rates may apply. Reply STOP to cancel. We do not share SMS originator opt-in data with unauthorized third parties for their own marketing.

16.4 Promotions and Loyalty Programs: From time to time, we may run promotions, sweepstakes, or loyalty programs. These are subject to these Terms and specific offer rules. Promotional offers are single-use, non-transferable, and may be modified or revoked by us at any time.
